Terms of Use

These terms are drafted in conformity with Information Technology Act, 2000 read with Information Technology (Intermediary Rules), 2011 to regulate the terms and conditions of usage of access to the Website and Services.

These Terms create a binding agreement between You and/or the entity that You represent (collectively, "You", "Your", "User") and M/s. Hyperleap Software Technologies Private Limited ("Company", "We", "Us", "Our"), a company incorporated under provisions of Companies Act, 2013, with registered office at T-Hub, Phase 2, Madhapur, Hyderabad, Telangana 500081.

These Terms govern Your use of Our Services provided through Our websites including: hyperleap.ai, api.hyperleapai.com, and studio.hyperleapai.com ("Platform").

• •You must be 18 years or older and not restricted from using Our Platform and Services
• •By clicking "I AGREE" or using Our Services, You enter into a legally binding agreement
• •These Terms apply even if You browse as a visitor without creating an Account
• •Terms may be modified at Our discretion; continued use constitutes acceptance

Our Platform is a SaaS application, accessible via web, and AI APIs. We provide the following Services:

• •Fostering AI literacy across Your entity through collaboration features
• •Empowering Your entity to communicate with AI tools effectively
• •Enabling feedback mechanisms for continuous improvement of AI integrations
• •Detailed auditing and compliance of every AI interaction
• •Detailed reporting and analytics of AI usage
• •Interactive hub for AI prompt optimization and data handling

We reserve the right to modify, add, remove or rename Our Services at Our sole discretion.

Services may temporarily be unavailable due to scheduled maintenance, technical issues, or circumstances beyond our control (force majeure events).

• •Admin Account created after subscription; End-Users can be invited
• •Duplicate Accounts are not permitted and will be terminated
• •You are responsible for maintaining credential confidentiality
• •Report unauthorized access immediately
• •Competitors are not permitted to use our Services

Payments are made according to Our pricing plan at hyperleap.ai/pricing. Pricing plans are subject to modification with prompt communication to Users.

Platform Content

All source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics ("Platform Content") and trademarks are owned by or licensed to Us, protected by copyright and trademark laws.

User Content

You own all intellectual property rights in content You upload, create or develop on the Platform ("User Content"). You are solely responsible for User Content generated, accessed, or stored in Your Account.

You agree NOT to:

• ×Impede or impair the operations of the Platform
• ×Copy and distribute Platform Content without authorization
• ×Use the Platform for illegal purposes
• ×Use automated systems to extract data
• ×Trick, defraud, or mislead Us or other Users
• ×Impersonate another User or person
• ×Resell, sublicense, or commercially exploit the Platform
• ×Circumvent security features

By using the Platform, You agree to be bound by Our Privacy Policy, which is incorporated into these Terms.

Our Services integrate with third-party applications. You are responsible for reading and understanding third-party terms before using any Third-Party Application.

Data is hosted in the nearest location from where You access Our Platform or in such country as specifically opted by You when availing Enterprise services.

THE SERVICES ARE PROVIDED ON AN AS-IS-AND-AS-AVAILABLE BASIS. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

The Company shall not be liable for any consequential, incidental, indirect, special, punitive, or other loss or damage arising from Your use of the Service.

Liability Cap: Total liability for all claims shall not exceed amounts paid to the Company in the three (3) months prior to the event giving rise to the claim, and shall not be greater than INR 10,00,000 (Rupees Ten Lakhs).

• •We may terminate Your Account immediately if You violate these Terms
• •For Startup/Growth Models: 15 days notice for termination
• •No refunds upon termination
• •You can disable Your Account by cancelling subscription or writing to accounts@hyperleapai.com

These Terms shall be governed by the laws of India. Any disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.

• •Language: English
• •Jurisdiction: Courts of Hyderabad shall have exclusive jurisdiction

In accordance with the Information Technology Act, 2000 and applicable laws, our Grievance Officer is:

Grant of Rights

By using Our Services, You grant Us a non-exclusive, royalty-free, worldwide license to use Your company name, logo, trademark, branding, and company identity ("Customer Marks") for the following purposes:

• •Marketing materials and Our website (including client lists and logos sections)
• •Case studies, success stories, and testimonials
• •Social media posts and promotional content
• •Press releases and media communications
• •Sales presentations and investor materials

Consent & Opt-Out

This license is granted automatically upon acceptance of these Terms. However, You may opt out of this license at any time by sending a written request to legal@hyperleaptech.com. We will remove Your Customer Marks from Our marketing materials within thirty (30) days of receiving such request, except from materials already in circulation or previously published.

Brand Guidelines Compliance

We agree to use Your Customer Marks in accordance with Your brand guidelines, whether provided directly by You or obtained from Your publicly available brand kit, website, or other official sources. You may provide updated brand guidelines at any time, and We will make commercially reasonable efforts to update Our materials accordingly within a reasonable timeframe.

Termination of Logo Use

The license granted under this section shall automatically terminate upon:

• •Cancellation or termination of Your Account
• •Deletion of Your Account
• •Receipt of a valid opt-out request

Upon termination, We will cease use of Your Customer Marks in new materials and remove them from Our active marketing channels within thirty (30) days, except where removal is not technically feasible (e.g., archived press releases, third-party publications).
