Our Agreement

Partner Terms

Version 1.0 | Effective date: October 30, 2026

These Partner Terms apply to agencies, consultancies and other businesses that use a Hyperleap AI partner organization to build and run AI agents for their clients. They add to, and do not replace, our Terms of Use and Privacy Policy.

1. ABOUT THESE PARTNER TERMS

1.1. These Partner Terms form part of the agreement between You (the “Partner”) and Hyperleap Software Technologies Private Limited (“Hyperleap AI”, “We”, “Us”) made up of the Terms of Use, Privacy Policy, Payment Terms, Refund Policy and Data Processing Agreement. Capitalised terms not defined here have the meaning given in the Terms of Use.

1.2. Everything in the Terms of Use continues to apply to You, to every Client Organization You create, and to every user in them. Where these Partner Terms and the Terms of Use conflict on a matter specific to partner organizations or Client Organizations, these Partner Terms prevail.

1.3. You accept these Partner Terms by ticking the acceptance box when You activate a partner plan (including a lifetime license bought through AppSumo or another marketplace), by signing an order form that refers to them, or by using a partner organization's features. We keep a record of the version You accepted and when. If You accept on behalf of a business, You confirm You have authority to bind it.

1.4. For how partner organizations work day to day, see the Partners section of the Help Center.

2. DEFINITIONS

  • Partner Organization: Your Hyperleap AI organization on a partner plan. It manages Clients, Your team and billing, and holds no AI agents of its own.
  • Client: A business You build or operate AI agents for.
  • Client Organization: The sub-account You create for a Client inside Your Partner Organization. It holds that Client's AI agents, Sources, workspaces, channels, conversations, leads and team.
  • Client Content: All content and data in a Client Organization, including Sources, agent configuration, conversations, leads, contacts and channel connections.
  • Partner Plan: The plan, limits, features and shared credit pool Your Partner Organization holds, whether paid by subscription, under an order form or as a lifetime license.

3. YOUR RIGHT TO SERVE CLIENTS

3.1. Clause 10 of the Terms of Use restricts reselling the Services or making them available to third parties. As an exception to that clause, while Your Partner Plan is active We grant You a limited, non-exclusive, non-transferable, revocable right to use the Services to build, operate and maintain AI agents for Your Clients, through Client Organizations, and to charge Your Clients for Your own services.

3.2. This right does not allow You to:

  • Resell or sublicense bare access to the Platform, accounts, credits, API keys or MCP tokens as a product in themselves.
  • Let another agency, reseller or partner run its own clients from Your Partner Organization, or create partner structures under Yours.
  • Offer the Services under Your own name as a self-serve software product that the public can sign up to.
  • Build a product that competes with the Services, or benchmark the Services for a competitor.

3.3. Any use outside this Clause 3 needs Our written agreement. Email legal@hyperleap.ai if You need something different.

4. ONE BUSINESS, ONE CLIENT ORGANIZATION

4.1. Every AI agent belongs to its Client. Each AI agent, Source, workspace, channel connection and lead must live in the Client Organization of the business it serves. Your Partner Organization holds none of these.

4.2. Each Client Organization is one real business. A Client Organization must represent a single, genuine business that You actually serve. A business with several locations or departments is one Client. Separate legal entities or separately branded businesses are separate Clients, even if they share an owner.

4.3. You must not:

  • Put AI agents for more than one business in the same Client Organization.
  • Split one business across several Client Organizations to get around per-client limits.
  • Create Client Organizations for fictitious, placeholder or unrelated businesses, or to stockpile capacity.
  • Copy one Client's Client Content into another Client's organization without that Client's permission.

4.4. Your own business. If You want AI agents for Your own agency, create a Client Organization for it. It counts toward Your client limit like any other.

4.5. Demos and prospects. You may keep a small number of Client Organizations to demonstrate the Services to prospective Clients. Each must be for a specific prospect, and You must delete it or turn it into that Client's organization when the pitch ends.

5. FAIR USE OF PLAN LIMITS

5.1. Your Partner Plan sets how many Client Organizations You may have and the limits each Client Organization gets, such as AI agents, workspaces and team members.

5.2. Where a Partner Plan describes something as “unlimited”, it means as many as each Client's genuine business reasonably needs. It does not cover:

  • Creating AI agents in bulk, by script or from templates, beyond what a Client actually uses.
  • AI agents that serve businesses other than the Client whose organization they are in.
  • Using the Services as hosting, storage or an AI gateway for another product.
  • Automated or artificial traffic, or any attempt to get around credit metering.

5.3. If We find use beyond fair use, We will tell You and give You a reasonable time to fix it. If it continues, We may set reasonable caps on Your Partner Organization or the Client Organizations involved, or take the steps in Clause 12.

6. YOUR CLIENTS AND THEIR CONTENT

6.1. Authority. Before You create a Client Organization, connect a Client's channels or upload their content, You must have the Client's permission to do so on their behalf.

6.2. Client Content belongs to the Client. As between You and Us, Client Content belongs to the Client, and You access it to provide Your services to that Client. Nothing in Your Partner Plan gives You ownership of a Client's conversations, leads or contacts.

6.3. Channels in the Client's name. Channel accounts You connect for a Client, such as a WhatsApp Business number, an Instagram account or a Facebook Page, must belong to that Client's business, not to You.

6.4. When an engagement ends. If a Client stops working with You, You must not hold their Client Content or channels back as leverage. When the Client asks, You will help them export their Client Content and disconnect or hand over their channels within a reasonable time. If You do not, and the Client shows Us they are the business concerned, We may help them export their Client Content or disconnect their channels directly.

6.5. Client teams. People You or Your Clients invite into a Client Organization are users of the Services and are bound by the Terms of Use and Privacy Policy.

7. DATA PROTECTION

7.1. For personal data in Client Content, the Client is the controller, You process it on the Client's behalf, and We process it as Your sub-processor under the Data Processing Agreement, which applies to You as the Customer.

7.2. You are responsible for having a data processing agreement with each Client that allows You to use Us and our sub-processors, and for making sure Your Clients give visitors any notices and obtain any consents the law requires.

7.3. You will pass on to Us, without undue delay, any data subject request or complaint about Client Content that needs Our help, and tell Your affected Clients when We notify You of a personal data breach that affects them.

8. RESPONSIBILITY FOR CLIENT ORGANIZATIONS

8.1. You are responsible for all activity in Your Partner Organization and in every Client Organization, including what Your Clients' own team members do. Each Client Organization must follow the Terms of Use, including the business-scoped AI agent rules in Clause 15.12 and the policies of any channel it connects, such as Meta's WhatsApp Business policies.

8.2. You will take on Clients only for lawful businesses and lawful uses, and You will answer Our questions about a Client Organization promptly.

8.3. You will indemnify Us against claims arising from Your Clients' use of the Services through Your Partner Organization, on the same basis as Clause 18 of the Terms of Use.

9. BILLING

9.1. You pay for Your Partner Plan, credits and add-ons. Your Clients have no billing relationship with Us, and every Client Organization draws on Your plan and shared credit pool.

9.2. You set Your own prices for Your Clients and collect from them yourself. A Client not paying You does not change what You owe Us.

9.3. Client Organizations depend on Your Partner Plan. If it ends, lapses or is suspended, Your Clients' AI agents stop answering and their teams cannot sign in until it is active again. Payments and refunds follow the Payment Terms and Refund Policy.

10. LIFETIME PARTNER PLANS

10.1. This Clause applies when Your Partner Plan comes from a lifetime license, such as one bought on AppSumo.

10.2. A lifetime license is for the business that activated it. It cannot be transferred, split across organizations, resold, or used to run another agency's clients.

10.3. “Lifetime” means for as long as We offer the Services and the plan the license grants, on the limits of the tier You hold. Fair use under Clause 5 applies in full.

10.4. You must accept these Partner Terms when You activate a license whose tier includes partner features. If Your tier changes to one with fewer clients or without partner features, Client Organizations above the new limit may be paused until You are within it.

11. BRANDING AND REPRESENTATIONS

11.1. You may show Your own brand to Your Clients where the Services support it, such as Your logo in Client Organizations.

11.2. You must not:

  • Claim to own or have built the Platform.
  • Use Hyperleap AI's name or logos except to accurately say You work with Us.
  • Make promises on Our behalf, such as service levels, certifications or data locations, beyond what We publish.
  • Present Yourself as Our employee, agent or official reseller unless We have agreed to it in writing.

12. TEAM ACCESS, SUSPENSION AND TERMINATION

12.1. Give each member of Your team access only to the Clients they work on, and remove access when someone leaves. Do not share logins, and do not use one Client's API keys or MCP tokens for another Client.

12.2. If a Client Organization breaks these Partner Terms or the Terms of Use, We may pause or suspend that Client Organization without affecting Your other Clients. We will tell You why, unless the law or an urgent risk to others prevents it.

12.3. For serious or repeated breaches, including breaches of Clauses 3, 4 or 5, We may suspend or end Your Partner Plan under Clause 19 of the Terms of Use, which also ends Your right to serve Clients under Clause 3.

12.4. If Your Partner Plan ends, We may offer Your Clients a way to export their Client Content or continue with Us directly, so their businesses are not left without their data.

13. CHANGES TO THESE PARTNER TERMS

13.1. We may update these Partner Terms. For material changes, We will email the owner of Your Partner Organization at least 30 days before they take effect, and may ask You to accept the new version in the Platform.

13.2. If You do not agree with a change, You may stop using partner features before it takes effect. Continuing to use them afterwards means You accept the updated Partner Terms.
